1. Acceptance of these Terms

These Terms & Conditions ("Terms") govern your access to and use of the NEEI website, the NEEI Android application and related services ("the Services"), operated by NEEI Digital Pvt Ltd ("the Company", "NEEI", "we", "us", "our").

By creating an account, accessing or using the Services, you ("you", "your", "User") agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

In these Terms, "Seller" means an SHG, Village Organisation, individual seller or rural enterprise that lists or supplies goods through NEEI; "Buyer" means a person or entity that procures goods through NEEI, including government, cooperative, brand and institutional buyers.

2. What NEEI is and is not

NEEI is a technology platform that helps rural Sellers plan a business, prepare and list products, and connect to procurement and marketplace opportunities, and it provides related enablement services through its facilitators.

• NEEI is an intermediary and facilitator. In any transaction between a Seller and a Buyer, the Seller is the seller of record and is responsible for the goods, their quality, description, pricing, statutory compliance and fulfilment.
• NEEI is not the manufacturer, seller or guarantor of goods listed by Sellers, unless we expressly state otherwise in writing.
• NEEI does not guarantee that any tender will be awarded, that any listing will result in a sale, that any financing will be approved, or that any business plan will succeed. Procurement decisions rest with Buyers and the relevant portals.

3. Eligibility and accounts

• You must be at least 18 years old and legally capable of entering into a contract under Indian law.
• One account is registered per mobile number, verified by OTP. A Village Organisation account is created by promoting an existing SHG account on the same number.
• You must provide accurate, current and complete information at registration and keep it updated. Registering a group means you are authorised by that group to act for it on NEEI.
• You are responsible for keeping your device and OTP codes secure and for all activity under your account. Never share an OTP with anyone, including anyone claiming to be from NEEI.
• We may refuse, suspend or terminate an account that provides false information or breaches these Terms.

4. Business plans and AI-generated content

NEEI researches business options and writes business plans, action plans and supply plans for you with the help of artificial-intelligence services, from the answers you provide. You agree that:

• generated content is guidance prepared to help you decide; it may contain errors, estimates or information that is out of date, and it is not professional, legal, financial or regulatory advice;
• costs, prices, scheme details, licence rules and machinery specifications in a plan must be verified with the relevant authority, supplier or a NEEI facilitator before you rely on them or spend money;
• the quality of a plan depends on the accuracy of your answers;
• you own the answers you provide; NEEI owns the platform and its templates, and grants you a licence to use the plans generated for you for your own business; and
• we may use de-identified, aggregated information about plans and outcomes to improve the Services.

5. Seller obligations

If you list or supply goods as a Seller, you agree that:

• you have the legal right to sell the goods you list, and they comply with all applicable laws, quality standards and licensing requirements (for example FSSAI for food);
• your listings — descriptions, images, pricing, availability — are accurate and not misleading, and photos are of the actual product;
• you will honour orders you accept, within the agreed timelines and service levels;
• you will provide valid KYC and settlement details when required and keep them current; and
• you will not list prohibited, counterfeit, unsafe or illegal goods.

You are solely responsible for your tax obligations, including GST, arising from your sales.

6. Product listings, review and the NEEI store

Product listings you create are reviewed by a NEEI facilitator before they are published. Approved listings are published on an online store operated by NEEI, showing the product and your group's name as its maker. We may edit a listing for clarity, decline it, or withdraw it at any time if it does not meet our standards, the law or these Terms, and we will tell you why where we can. Archiving or deleting a listing withdraws it from the store.

7. Demand matching and service levels

NEEI shows tenders, brand requirements and other demand, and may match a requirement to a limited number of suitable Sellers. Matched Sellers are expected to respond within the response window shown for that requirement; a match may be reassigned if a Seller does not respond in time. We may change matching parameters and response windows to keep the marketplace working fairly and reliably.

8. Fees and payments

• Creating an account, answering the questionnaire and receiving a business plan are free unless a charge is clearly displayed before you commit to it.
• NEEI may charge onboarding, listing, per-transaction or service fees in future. Current charges are always shown in the Services before you commit, and fees may be revised prospectively with notice.
• All fees are exclusive of applicable taxes unless stated otherwise; GST applies as per law.
• Where NEEI settles sale proceeds to a Seller, settlement is made to the registered bank account, net of applicable charges, within the timelines communicated in the Services.

9. Buyer terms

If you use NEEI as a Buyer: you are responsible for the accuracy of your requirements and for your own procurement compliance; an order you place through NEEI creates a contract between you and the Seller, facilitated by NEEI; and payment, acceptance, returns and dispute terms for a transaction are as stated at the point of that transaction.

10. Intellectual property and your content

All content, software, design, trademarks, logos and materials on the Services — other than Seller listings and User-provided content — are owned by or licensed to NEEI and protected by law. You may use the Services only as these Terms permit. Without our prior written permission you may not copy, republish, sell, rent, sub-license or redistribute material from the Services, or use automated means to scrape or extract data from them.

You keep ownership of the content you submit (answers, listings, photos). You grant NEEI a non-exclusive, royalty-free licence to host, display, adapt for format, and use that content to operate and promote the Services, including publishing approved listings on the NEEI store, for as long as your account exists or the content remains published.

11. Tender and procurement data

Tender and procurement information shown on the Services is aggregated from government portals, cooperative bodies and third-party data providers. We make reasonable efforts to keep it accurate and current but do not warrant its completeness, accuracy or timeliness. Verify any opportunity against the official source before acting on it; your use of such data is subject to the terms of the underlying source.

12. Acceptable use

You agree not to: use the Services for any unlawful purpose; upload false, misleading, defamatory, obscene or infringing content; interfere with or disrupt the Services or attempt unauthorised access; impersonate any person or misrepresent your affiliation; use the Services to transmit malware or engage in fraud; or register accounts for people who have not authorised you to do so. We may suspend or terminate access for breach of this section.

13. Third-party links and services

The Services link to and integrate third-party sites and services — government tender portals, the online-store platform, payment providers and others. We do not control and are not responsible for their content, policies or practices; your use of them is governed by their own terms.

14. Disclaimers

To the maximum extent permitted by law, the Services are provided "as is" and "as available". We exclude all warranties not expressly stated, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Services will be uninterrupted, error-free or secure, or that defects will be corrected.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud.

15. Limitation of liability

To the maximum extent permitted by law: NEEI is not liable for the acts, omissions, goods or services of any Seller, Buyer, financing partner or other third party; NEEI is not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profit, revenue, data or goodwill; and NEEI's total aggregate liability arising out of or in connection with the Services is limited to the total fees you paid to NEEI in the 3 months preceding the event giving rise to the claim.

You agree to indemnify and hold NEEI harmless against claims arising from your breach of these Terms, your content, or your transactions with other Users.

16. Lender onboarding and credit consent

This section applies only if you opt into financing or credit-enablement services offered through NEEI. It applies in addition to the rest of these Terms.

For documents you submit for credit onboarding and evaluation (which may include Aadhaar, PAN, GST certificate, applicable licences, photographs and other business information), you acknowledge and agree that:

• you authorise NEEI to share that information, and your transaction history with NEEI, with lending partners and financial institutions for the purpose of credit evaluation, and with third-party service providers those partners appoint for the same purpose;
• you consent to NEEI, a lending partner or an appointed service provider obtaining your consumer credit information from credit information companies (such as TransUnion CIBIL, Experian, Equifax or CRIF High Mark);
• by submitting a credit application you give express consent for them to request and receive information about you from third parties, including a copy of your consumer credit report and score, for as long as you have an active business relationship with NEEI; and
• NEEI and the lending partner may each retain a copy of your information in accordance with their respective terms and privacy policies.

You may withdraw this consent at any time, prospectively, by writing to our Grievance Officer. Withdrawal does not affect processing already carried out or retention required by law.

17. Suspension, termination and deleting your account

We may suspend or terminate your access to the Services, in whole or in part, if you breach these Terms, if the law requires it, or to protect the Services or other Users. You may stop using the Services at any time and may ask for your account to be deleted from the app (Account → Delete my account) or by writing to our Grievance Officer; deletion is described in the Privacy Policy. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability and governing law — survive.

18. Changes to these Terms

We may amend these Terms from time to time. We will post the updated Terms with a revised "Last updated" date and, where changes are significant, take reasonable steps to notify you in the Services. Continued use after an update means you accept the amended Terms.

19. Governing law and jurisdiction

These Terms are governed by the laws of India. Subject to any applicable law, the courts at New Delhi have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Services.
